These Terms of Use apply to the use of the Customrflow platform, which includes the following functional areas:

• Marketing & Analytics (campaigns, lead tracking, UTM management)
• CRM System (contacts, deals, pipelines, tasks)
• Scheduling & Booking (online booking, calendar integration)
• Point of Sale (POS, transactions, cash register closings)
• Accounting (invoices, SEPA, DATEV export)
• Email Marketing (campaigns, templates, automations)
• Website & Form Builder
• Online Ordering System
• Project & Task Management
• Media & File Management

3. Registration and User Account

Registration is required to use the platform. You are obligated to provide truthful and complete information during registration and to keep it up to date at all times. Your login credentials must be kept confidential. You are liable for all activities that occur under your account.

We reserve the right to suspend or delete accounts in the event of violations of these Terms of Use or if the account is used for unlawful purposes.

As a user of the platform, you agree to:

• Use the platform only for lawful business purposes.
• Not process third-party data without their consent.
• Comply with applicable data protection laws (particularly GDPR) when processing personal data of your customers.
• Keep your login credentials confidential and protect them from unauthorized access.
• Not upload content that violates applicable law or the rights of third parties.
• Not use the platform in a manner that impairs its operation.
• Immediately inform us of any security incidents or unauthorized access.

6. Availability and Maintenance

We strive for the highest possible availability of the platform but do not guarantee uninterrupted accessibility. Planned maintenance will be announced in advance where possible. We are not liable for temporary outages due to maintenance, technical issues, or force majeure.

7. Third-Party Integrations

The platform offers integrations with third-party services (e.g. Meta, Google, Stripe, TikTok). These integrations are subject to the respective terms of use and privacy policies of the third-party providers. We assume no liability for the availability, functionality, or data protection practices of third-party services.

8. Intellectual Property

All rights to the platform, including software, design, logos, text, and other content, belong to us or our licensors. The license grants you a non-exclusive, non-transferable right to use the platform within the scope of these Terms of Use. You retain your existing rights to the data and content you enter.

9. Limitation of Liability

Our liability is limited to the extent permitted by law:

• We are liable without limitation for intent and gross negligence.
• In cases of slight negligence, we are only liable for the breach of essential contractual obligations and limited in amount to the foreseeable, contract-typical damage.
• We are not liable for data loss to the extent caused by inadequate data backup by the user.
• Liability for damages arising from the use of third-party integrations is excluded to the extent permitted by law.
• The above limitations do not apply to damages resulting from injury to life, body, or health.

10. Termination

You may terminate your account at any time. After termination, your data will be handled in accordance with our Privacy Policy. Statutory retention obligations remain unaffected.

We reserve the right to terminate the contract without notice in the event of serious violations of these Terms of Use.

11. Changes to Terms of Use

We reserve the right to amend these Terms of Use with reasonable advance notice. You will be notified of material changes at least 30 days in advance by email. If you do not object to the changes within the specified period, the new terms are deemed accepted.

12. Applicable Law and Jurisdiction

The laws of the State of Wyoming, USA, shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers within the EU, the mandatory consumer protection regulations of their country of residence shall apply. The place of jurisdiction is Sheridan, Wyoming, to the extent permitted by law.

13. Severability Clause

Should individual provisions of these Terms of Use be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely approximates the economic purpose of the invalid provision.
